| 4. | A statement of whether the change in the percentage level is the result of a transaction or a series of transactions: | On 24 November 2009, MacarthurCook Industrial REIT ("MI-REIT") issued 78,571,429 Units and 142,857,143 Units to AMP Capital Investors (Luxembourg) No. 4 s.a.r.l and the Cornerstone Investors (collectively the "Placement Units"), respectively. Following the issue of the Placement Units, the total number of units in issue is 487,813,666. The change in the percentage level is the result of (i) the issuance of 9,821,429 Cornerstone Investment Units to GWCH by MI-REIT pursuant to the AIMS Investment (as part of the Cornerstone Investments), as defined in the Circular to Unitholders of MI-REIT dated 6 November 2009 and (ii) the dilution as a result of the increase in the number of units in issue. | |||||||||||||||
